Summary: Hero ERP is a $499/mo (intro) → $899/mo (standard) B2B subscription service for metal fabrication shops. You own your data. Cancel anytime. No refunds after the billing cycle starts. These terms govern your use of the platform.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and MetalMind, LLC ("MetalMind," "we," or "us") governing your access to and use of Hero ERP (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, clicking "I Agree," or using the Service, you confirm that: (a) you are at least 18 years old; (b) you have the legal authority to enter into this agreement on behalf of your company; (c) you have read, understood, and agree to these Terms.
Hero ERP is a cloud-based enterprise resource planning platform designed for metal fabrication shops. Features include AI-powered RFQ parsing, automated quoting, production scheduling, shipping management, shop floor time tracking, invoicing, and related business operations tools.
The Service is provided on a Software-as-a-Service (SaaS) basis. MetalMind reserves the right to modify, suspend, or discontinue any feature or the Service itself with reasonable notice.
Introductory Pricing: $499/month for the first 90 days from subscription start date.
Standard Pricing: $899/month thereafter. You will be notified 14 days before the rate increase takes effect.
Billing: Subscriptions are billed monthly in advance. Billing is processed via Stripe. By subscribing, you authorize MetalMind to charge your payment method on a recurring basis.
Price Changes: MetalMind may change pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.
You may cancel your subscription at any time via the Settings page or by contacting GetHeroERP@gmail.com.
All sales are final. MetalMind does not issue refunds for subscription payments once a billing cycle has begun, except where required by applicable law. If you believe a charge was made in error, contact us within 7 days at GetHeroERP@gmail.com and we will review your case.
You agree not to:
Your Data: You own all business data you enter into Hero ERP ("Customer Data"), including quotes, production orders, customer records, and employee data. MetalMind does not claim any ownership over your Customer Data.
License to MetalMind: You grant MetalMind a limited, non-exclusive license to process, store, and transmit your Customer Data solely to provide the Service. This license terminates when you delete your data or cancel your account.
AI Processing: When you use AI features, you authorize MetalMind to send relevant data to AI service providers for processing on your behalf. This is limited to data you explicitly submit for AI processing.
Hero ERP, its source code, design, trademarks, and all non-Customer Data content are the exclusive property of MetalMind, LLC. Nothing in these Terms grants you any rights to MetalMind's intellectual property other than the limited right to use the Service as described herein.
MetalMind will treat your Customer Data as confidential and will not disclose it to third parties except as required to provide the Service or as required by law. MetalMind employees with access to Customer Data are bound by confidentiality obligations.
MetalMind strives to maintain 99.5% uptime but does not guarantee uninterrupted access. Planned maintenance will be announced in advance when possible. MetalMind is not liable for downtime caused by factors outside its reasonable control, including third-party service outages or internet failures.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." METALMIND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. METALMIND DOES NOT WARRANT THAT AI-GENERATED QUOTES OR SCHEDULES ARE ACCURATE OR ERROR-FREE — YOU ARE RESPONSIBLE FOR REVIEWING ALL AI OUTPUTS BEFORE USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METALMIND'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO METALMIND IN THE 3 MONTHS PRECEDING THE CLAIM. METALMIND IS NOT LIABLE FOR LOST PROFITS, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
You agree to indemnify and hold harmless MetalMind, its officers, directors, employees, and agents from any claims, damages, or expenses (including attorney's fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in New Jersey. You waive any right to a jury trial or class action.
MetalMind may update these Terms from time to time. Material changes will be communicated via email 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the changes, you may cancel your subscription before the effective date.
MetalMind may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees. Upon termination for cause, no refund will be issued. You may terminate at any time per Section 4 (Cancellation Policy).
